Terms & Conditions for CCL Market Hub Vendor

1 Scope
(1) CCL Market Hub (“CCL Market Hub”) owns and operates a platform in Nigeria that allows merchants to sell their products to the public over the internet. This platform is currently provided on the website 
www.cclmarkethub.com, but may be provided on different websites or applications in the future.
(2) The merchant will have the opportunity to sell their products on the CCL Market Hub platform. CCL Market Hub is entitled to accept purchases on behalf of the seller. The service provided by CCL Market Hub is limited to referring customers to the merchant and accepting orders and payments on their behalf. In addition to this at CCL Market Hub’s discretion they may provide the merchant with analytics about the performance of the merchants’s products and additional marketing support. This support may be reflective of the agreed level of commission.
(3) The merchant authorises CCL Market Hub to accept binding orders from customers on their behalf.
(4) CCL Market Hub may carry out changes to the website or service, or suspend the service, without notice.

2 CCL Market Hub’s rights and obligations
(1) The merchant acknowledges that the relationship between customers and CCL Market Hub is governed by the privacy policy and the general terms and conditions, both available on the website.
(2) CCL Market Hub will present on the website the products listed by the seller. The merchant will be responsible for listing their own products.
(3) CCL Market Hub is authorised to accept binding sales on behalf of the merchant and will be careful to pass order data on to the merchant as well as technology allows.
(4) In order to maintain its reputation for quality and high standard of service, CCL Market Hub reserves the right to terminate the relationship with the merchant if the merchant repeatedly receives bad reviews or complaints, or fails to comply with our recommendations.

3 Merchant’s rights and obligations
(1) The merchant is obliged to provide all the information necessary when listing a product on CCL Market Hub.com.ng. This should include but is not limited to, a detailed title and sub-title, price, quantity, picture and description. The merchant must never knowingly deceive a potential customer by misrepresenting their product/s. The merchant must notify CCL Market Hub of any changes to the detail of their listings while uploaded on the site.
(2) The merchant guarantees that information listed on CCL Market Hub relating to his products satisfies all legal requirements, and in particular satisfies information requirements for consumer protection.
(3) The merchant will be responsible for keeping an up-to-date inventory of all their products listed on CCL Market Hub.
(4) The merchant guarantees that the information provided by him does not violate any third party’s copyright.
(5) The merchant will contact the customers no more than is necessary for processing the transactions referred by CCL Market Hub. In particular, the merchant will not send any advertising email or other commercial advertisements to the customer without prior agreement from CCL Market Hub or the expressed wish of the customer. When delivering products sold via CCL Market Hub, the merchant will not advertise any of CCL Market Hub’s competitors.
(6) The merchant will process orders and arrange delivery with all reasonable care the moment receipt of confirmation of sale is received through the CCL Market Hub site via email and/or text message. The delivery options and time indicated on their listing is binding, orders should be fulfilled within 1 working day. The merchant is required to keep his advertised products and services available to the best of his ability. Repeated stock-outs will result in the removal of the merchant and all their products from the CCL Market Hub platform.
(7) If the merchant cannot fulfill an order submitted to him, he must notify CCL Market Hub as soon as possible, and within 1 day of receiving the order at the latest.
(8) The merchant agrees to adhere to his range of products and prices as provided to CCL Market Hub and as described on their listing on the website. The merchant guarantees that there are no ongoing criminal, bankruptcy or tax proceedings or other penalties outstanding in relation to the products they are selling through the platform. The merchant further guarantees to take great care to keep up-to- date his range of products, stock count, prices and associated terms and conditions, like delivery fees.
(9) The merchant representative is to provide CCL Market Hub with a copy of his/her valid Identity Card at the contract signature.

4 Commission
(1) The merchant agrees to pay CCL Market Hub a fixed percentage commission on the gross revenue from their sales made through the CCL Market Hub platform. Depending on the category it may be appropriate to agree different commission percentages for certain items or product categories.
(2) CCL Market Hub may start charging additional fees for the sale of goods through the CCL Market Hub platform at any point. These may include but are not limited to, listing fees, multiple photos fees and enhanced marketing fees. In the event of the introduction of further fees, the merchant will be notified prior to their commencement in writing and they will have the option to opt out.
(3) CCL Market Hub reserves the right to adjust the percentage commission, providing suitable notice is served in advance to the merchant. CCL Market Hub will give the merchant adequate notice of any commission changes, in writing. This does not cover adjustments that constitute a material change of the contract terms, which would require an additional agreement on the change.

 

5 Customer online payment
(1) In case of electronic payment by the customer (e.g. by credit card, debit card, or Wireless online Transfer), CCL Market Hub collects the payment for the relevant order in CCL Market Hub’s name on behalf of the merchant, and pays it out to the merchant according to the invoicing agreement.
(2) The merchant will keep receipts of deliveries to customers for at least 13 months and make those available on request. In case of problems that may cause the order to be rescinded, or in case of a delivery failure, the merchant must immediately notify CCL Market Hub by phone so that the credit card payment may be cancelled.
(3) The merchant bears the risk of abuse of the payment medium (e.g. of credit card or debit card fraud). If a fraudulent payment has been credited to the merchant, CCL Market Hub reserves the right to correct the amount the merchant is invoiced to offset this payment.

6 Liability
(1) The merchant indemnifies CCL Market Hub from all claims arising in relation to matters outside CCL Market Hub’s control, including but not limited to the quality of goods and services provided by the seller. The merchant further indemnifies CCL Market Hub from third parties’ claims resulting from any violation of laws and regulations by the seller.
(2) CCL Market Hub cannot guarantee that its service will be free from all malfunctions, but will exercise all reasonable care and skill to resolve any such case.
(3) VAT liability rests with the merchant and CCL Market Hub will not be responsible for any VAT issues.

7 Privacy
Both parties are obliged to treat confidentially the content of this agreement, as well as all other information and data they acquire in connection with the partnership, and not use it for purposes outside the scope of this contract or pass it on to third parties. This obligation is in force for 1 year after the termination of the contract. Both parties are obliged to follow privacy laws and handle accordingly all data related to customers, suppliers and business partners.

8 License
(1) CCL Market Hub has the right to freely maintain the merchant’s listing and its ranking on the website. CCL Market Hub offers customers the opportunity to give ratings and reviews of the merchant’s goods and services on the website, and has the right but not the obligation to publish these online and make them visible to all customers. CCL Market Hub reserves the right to delete ratings and reviews.
(2) CCL Market Hub may scan, transcribe, and publish online the merchant’s listings, logos and other materials required. The merchant grants to CCL Market Hub a royalty- free, perpetual, unrestricted licence to use and distribute any materials provided by him, for the purpose of advertising CCL Market Hub’s service. In particular, this includes use in Google AdWords campaigns, domain name registrations and other online marketing and search engine optimization measures.

9 Terms and termination
(1) This agreement is valid as soon as the merchant signs the contract, or fulfils an order referred by CCL Market Hub, and remains valid indefinitely, until termination by either party. Termination can occur at any time, with a period of notice of one month, in writing, by email, post or fax. The revenues generated during this notice period are still subject to the partnership agreement. The right to immediate termination by either party for important cause remains unaffected.
(2) The right to immediate termination in particular covers the case where the merchant repeatedly receives negative ratings and reviews on the website, and when these are not obviously unjustified. Repeatedly providing misleading information or withholding information required to present the merchant’s items is also grounds for immediate termination. Typos, mistakes and transmission errors are excluded from this, as long as they are not caused with intent or by gross negligence.

10 General
(1) If a single clause in this agreement is invalid, both parties will endeavor to replace the invalid clause by a valid one that reproduces as closely as possible the intended economic meaning of the invalid clause. The validity of the rest of the agreement remains unaffected. This applies in particular if the agreement is found to be incomplete.
(2) CCL Market Hub reserves the right to modify his general terms and conditions without giving any justification. In that case, CCL Market Hub will give the merchant adequate notice via email. The notice will contain advice on the right and period of objection to the changes, and on the consequences of leaving unexercised the right to object.
(3) The changed terms and conditions are considered agreed by the merchant if he does not object to them in writing within 2 weeks of receiving notice of the changes.
(4) Any terms and conditions of the merchant are not part of this agreement unless CCL Market Hub expressly agrees to adhere to them in writing.

About the Prohibited and Restricted Products Policy
1.1. Purpose
CCL Market Hub works hard to ensure that we keep our buyers’ trust and protect them against the sale of unsafe, illegal and otherwise unlicensed products when they shop on our marketplace.
The purpose of this Prohibited and Restricted Products Policy is to support our sellers to work with us to ensure that there is no place for illegal products on CCL Market Hub.

1.2. Scope
Prohibited products are those products that may never be sold on CCL Market Hub due to illegality, whilst restricted products may only be sold if certain criteria are met.
This Policy sets out:

  • Products that are prohibited from sale on CCL Market Hub or subject to restrictions;
  • How sellers may identify such products;
  • How CCL Market Hub detects such products to prevent their sale; and
  • The consequences of violation of this Policy.

1.3. Application
This Policy applies to all products listed by sellers on the CCL Market Hub marketplace.
2. What are prohibited and restricted products?


2.1. Prohibited products
Prohibited products are banned from sale on CCL Market Hub. Specific prohibited products will vary by market, due to different local legal requirements. However, the following categories of products are always prohibited from sale on CCL Market Hub:

  • Prescription Medicines
  • Medical Devices
  • Narcotics
  • Firearms, Munitions and Other Weapons
  • Currency
  • Used Products
  • Hazardous and Dangerous Products
  • Counterfeit Products, As Further Outlined In The Anti-Counterfeit Policy

2.2. Restricted products

Restricted products are subject to local licensing and other requirements. Specific restricted products will also vary by market, but could include the following:

  • Products (brands/categories) that are at high risk of counterfeit, and require authentication in order to distribute or sell.
  • Products that require a licence for import; and
  • Products that require local registrations/permits from the relevant food and drugs agency (“FDA”) e.g. foods alcohol, cosmetics and tobacco.


CCL Market Hub understands and prioritizes the regulation on food and drug categories that require permits for the exportation, importation, manufacture, and the registration of products such as drugs, chemicals, consumable goods, cosmetics, biological, and medical services which are produced in or outside Nigeria.
CCL Market Hub requires that products that are listed and sold in these categories have valid registrations and this is a requirement for all products being listed in such categories. All listings of FDA regulated product categories are limited to local sellers and CCL Market Hub managed accounts only.

CCL Market Hub may update the List from time to time, in order to stay current with available information and changes in the law.

The List presents a helpful guide for sellers, but it is not exhaustive, and we rely on sellers to take full responsibility for exercising good judgment in respect of their product listings and ensuring that their products comply with the laws and regulations of the markets in which they are listed for sale.

  1. How does CCL Market Hub detect prohibited and restricted products?

CCL Market Hub is continuously innovating to improve the ways we detect and prevent the sale of prohibited products, and monitor the sale of restricted products on marketplace.

CCL Market Hub may detect a prohibited or restricted product in the following ways:

  • Product creation: All listings of FDA regulated product categories are limited to local sellers and CCL Market Hub managed accounts only. The listing includes a mandatory field for insertion of the FDA registration number.
  • Product approval: When sellers create new product listings, the listings will be subject to approval by CCL Market Hub before they are published on the website. Sellers will receive notification of all prohibited or restricted products that are blocked.
  • Product content updates: Edits to listings are be subject to approval by CCL Market Hub before they are published on the website. Sellers will receive notification of all edits that are rejected.
  • Physical inspection: We conduct random physical inspection of products in our possession, as well as more targeted inspections in respect of high risk products and sellers with high rates of return. We can therefore detect practices such as listing authentic products but delivering counterfeits, and the listing of counterfeit products under alternative brand names.
  • Reports: We encourage all buyers, brands and manufacturers who have concerns about the sale of Prohibited and Restricted products to notify us as provided below. We will promptly investigate and take appropriate action to protect buyers, other sellers, and rights holders.
  1. What are the consequences of violation of this Policy?

If a seller lists a prohibited or restricted product in violation this Policy and the law, CCL Market Hub shall delist the products from sales and apply the appropriate financial penalties, as provided by the Penalty Policy.

CCL Market Hub may also, in its discretion, take further corrective action, which may include, without limitation, the following:

  • Arranging immediate collection by the seller of any stock in our possession;
  • Destroying the stock without reimbursement to the seller and at the seller’s cost;
  • Delivering the stock to the relevant law enforcement authority, without reimbursement to the seller and at the seller’s cost;
  • Suspending or terminating the seller’s shop on CCL Market Hub;
  • Withholding all payments to the seller; and/or
  • Commencing legal action against the seller (the sale of unsafe or illegal products may also lead to criminal prosecution).

About the Penalty Policy

1.1. Purpose

Jumia strives to maintain the highest standards on the Jumia marketplace, to ensure that buyers can always shop with trust and confidence, and that sellers compete fairly. We have a range of codes, policies and guidelines, directed towards maintaining our standards.

In the event that sellers fail to adhere to our codes, policies and guidelines, we reserve the right to apply penalties, including financial penalties.

The purpose of this Policy is to ensure transparency around Jumia’s approach to applying penalties.

1.2. Scope

This Policy sets out:

  • The range of remedies available to Jumia for breach of the Terms and Conditions of Use of the Marketplace, or Jumia’s codes, policies and guidelines;
  • The particular breaches that will be subject to financial penalties;
  • The level of financial penalties that may be applied; and
  • How we apply and communicate financial penalties to sellers.

 

 

1.3. Application

This Policy applies to all sellers on the Jumia marketplace.

  1. Jumia’s remedies for seller breaches

Jumia may, in its discretion, apply financial penalties in respect of the following three main categories of breach:

  • Quality control failures
  • Sale of counterfeit products; and
  • Sale of prohibited or restricted products,

Particularized in further detail at section 3 below.

Jumia’s right to apply the financial penalties set outlined in this Policy is without prejudice to all other rights and remedies available pursuant to the Terms and Conditions of Use of the Marketplace and at law, including:

  • Delisting (or de-boosting) products;
  • Formal warnings;
  • Temporarily suspending access to the marketplace;
  • Withholding all payments to the seller;
  • Deleting the seller account and permanently prohibit access to the marketplace;
  • Commencing legal action against the seller; and/or
  • Reporting the seller to the relevant regulatory authorities for criminal prosecution.

3.1. Quality control failure

Jumia operates strict quality control procedures in respect of all products delivered to its vendor drop off hubs and warehouses.

Jumia will impose a penalty fee of USD 10 on sellers in respect of each and every product that fails Jumia’s quality control checks, including for any of the reasons listed in the table below.

3.2. Counterfeit product

Jumia prohibits the sale of counterfeit products on our marketplace, and will act swiftly to remove such products from the supply chain.

Jumia will impose a penalty fee of USD 200 on sellers in respect of each and every counterfeit item that we discover, either on a product listing, during quality control inspections, or following a buyer complaint.

Our Anti-Counterfeit Policy further particularizes our approach to keeping counterfeit products out of the marketplace, and to dealing with breaches of the policy.

3.3. Prohibited or restricted products

Prohibited products are those products that may never be sold on Jumia due to illegality, whilst restricted products may only be sold if certain criteria are met.

Jumia reviews all product listings, and works with our logistics providers and customs authorities, to ensure that we identify and prevent the sale of prohibited and restricted products.

Jumia will impose a penalty fee of USD 1,000 on sellers in respect of each and every Prohibited or restricted item that we discover, either on a product listing or at any other point in our supply chain.

Our Prohibited and Restricted Products Policy further particularizes our approach to protecting our buyers against the sale of unsafe, illegal and otherwise unlicensed products when they shop on our marketplace.

All penalties are clearly identified in the seller’s statement of account and set off against commissions payable to the seller.
